DBA RENZO GRACIE SOUTH CAROLINA

PARTICIPATION AGREEMENT, LIABILITY WAIVER, RELEASE OF LIABILITY, ASSUMPTION OF RISK, AUTO-PAY AUTHORIZATION, AND MEMBERSHIP AGREEMENT

PLEASE READ CAREFULLY BEFORE SIGNING. THIS DOCUMENT AFFECTS YOUR LEGAL RIGHTS.

In consideration for being permitted to participate in any classes, instruction, training, sparring, open mat sessions, competitions, seminars, conditioning programs, fitness training, or other activities conducted by Thunderdome JiuJitsu LLC DBA Renzo Gracie South Carolina (“Gym”), the undersigned agrees to the following terms and conditions:

1. ACKNOWLEDGMENT AND ASSUMPTION OF RISK

I understand and acknowledge that participation in Brazilian Jiu-Jitsu (“BJJ”), martial arts, mixed martial arts (“MMA”), grappling, wrestling, self-defense training, sparring, rolling, drilling, conditioning, takedowns, throws, and related physical activities (collectively “Activities”) involves inherent and significant risks of bodily injury, illness, permanent disability, paralysis, emotional distress, property damage, and death.

I understand that injuries and damages may result from, including but not limited to:

• Falls and impacts
• Joint locks and submission holds
• Chokes and strangulation techniques
• Takedowns and throws
• Striking or accidental contact
• Overexertion
• Equipment failure
• Facility conditions
• Actions or negligence of instructors, students, visitors, or other participants
• Exposure to communicable diseases and infections

I further understand that possible injuries include, but are not limited to:

• Cuts, bruises, and abrasions
• Sprains and strains
• Torn ligaments and tendons
• Broken bones
• Dislocated joints
• Neck and spinal injuries
• Concussions and traumatic brain injuries
• Loss of consciousness
• Permanent disability
• Paralysis
• Death
• Skin infections including MRSA, staph infections, ringworm, and other bacterial or viral infections

I knowingly, voluntarily, and freely assume all risks, both known and unknown, even if arising from the ordinary negligence of the Released Parties identified below.

1. RELEASE AND WAIVER OF LIABILITY

I hereby release, waive, discharge, and covenant not to sue Thunderdome JiuJitsu LLC DBA Renzo Gracie South Carolina, including its owners, officers, directors, employees, instructors, coaches, staff, volunteers, members, participants, independent contractors, agents, affiliates, landlords, sponsors, successors, assigns, and representatives (collectively “Released Parties”) from any and all liability, claims, demands, causes of action, damages, losses, costs, or expenses arising from or related to any injury, illness, disability, death, or property damage sustained while participating in or attending the Activities.

This release specifically includes claims arising from the ordinary negligence of the Released Parties.

I understand that this waiver is intended to be as broad and inclusive as permitted by the laws of the State of South Carolina.

1. MEDICAL REPRESENTATION

I certify that I am physically fit and capable of participating in the Activities and that I have no medical condition that would prevent safe participation.

I understand that I should consult with a physician before participating in strenuous physical activity.

I agree to immediately notify Gym staff of any injury, illness, medical condition, dizziness, or physical limitation affecting my participation.

1. EMERGENCY MEDICAL AUTHORIZATION

In the event of an injury, accident, or medical emergency, I authorize the Gym and its representatives to secure emergency medical treatment on my behalf if deemed necessary.

I understand and agree that I am solely responsible for all medical expenses incurred as a result of participation in the Activities.

1. COMMUNICABLE DISEASE ACKNOWLEDGMENT

I understand that participation in close-contact sports may expose me to communicable diseases, infections, viruses, and bacteria, including but not limited to MRSA, staph infections, ringworm, influenza, and COVID-19.

I voluntarily assume all such risks associated with participation in the Activities.

I agree not to participate while knowingly suffering from any contagious illness, infection, or medical condition that could endanger others.

1. RULES, CONDUCT, AND SAFETY

I agree to comply with all Gym rules, hygiene requirements, safety procedures, and instructor directions.

I understand that unsafe conduct, excessive aggression, harassment, intoxication, drug use, misconduct, nonpayment, chargebacks, or violation of Gym policies may result in suspension or termination of membership without refund.

1. PHOTO, VIDEO, AND MEDIA RELEASE

I understand and agree that Thunderdome JiuJitsu LLC DBA Renzo Gracie South Carolina may photograph, videotape, livestream, or otherwise record classes, training sessions, events, seminars, competitions, and activities occurring at the Gym.

I hereby grant Thunderdome JiuJitsu LLC DBA Renzo Gracie South Carolina the unrestricted and irrevocable right to use, reproduce, publish, distribute, display, edit, modify, and create derivative works from my name, image, likeness, voice, photographs, and video recordings for promotional, advertising, marketing, educational, commercial, and social media purposes in any format or media now known or later developed, without compensation or further consent.

I understand that participation in Gym activities constitutes consent to such recording and media use.

1. MEMBERSHIP, BILLING, AUTO-PAY, AND CANCELLATION POLICY

I understand and agree that all membership fees, tuition, recurring monthly dues, annual fees, equipment charges, competition fees, merchandise purchases, late fees, and other authorized charges are due according to the membership plan selected.

By signing this Agreement, I authorize Thunderdome JiuJitsu LLC DBA Renzo Gracie South Carolina to automatically charge my credit card, debit card, bank account, ACH account, or other approved payment method for all authorized charges associated with my membership account.

This authorization shall remain in effect until my membership is properly canceled in accordance with the cancellation policy below.

CANCELLATION POLICY

Cancellation requests must be submitted in writing and received by the Gym at least thirty (30) days prior to the effective cancellation date.

Cancellation becomes effective thirty (30) days after written notice is received by the Gym.

If any scheduled billing date occurs during the 30-day notice period, the scheduled membership payment will still be processed and remains due.

Member remains financially responsible for all charges until cancellation becomes effective.

Failure to attend classes, temporary non-use of membership, relocation, schedule conflicts, injury, or personal circumstances do not automatically terminate billing obligations unless otherwise agreed to in writing by Gym management.

No verbal cancellations, social media messages, or text messages shall constitute valid cancellation notice unless expressly acknowledged in writing by the Gym.

Membership fees are non-refundable except where required by law.

The Gym reserves the right to suspend or terminate membership privileges for nonpayment, chargebacks, misconduct, unsafe behavior, or violation of Gym policies.

1. CHARGEBACKS AND PAYMENT DISPUTES

I agree to contact the Gym directly regarding any billing issue or dispute prior to initiating any chargeback or payment dispute with my financial institution.

I understand that knowingly disputing valid authorized charges may constitute breach of this Agreement.

1. INDEMNIFICATION

I agree to indemnify, defend, and hold harmless the Released Parties from and against any claims, liabilities, damages, costs, expenses, or attorney’s fees arising from my actions, conduct, negligence, or participation in the Activities.

1. GOVERNING LAW AND VENUE

This Agreement shall be governed by and interpreted in accordance with the laws of the State of South Carolina.

Any legal action or proceeding arising under this Agreement shall be brought exclusively in a court of competent jurisdiction located within the State of South Carolina.

1. SEVERABILITY

If any portion of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

1. ACKNOWLEDGMENT OF UNDERSTANDING AND SIGNATURE

I acknowledge that I have carefully read and fully understand this Agreement and all policies contained herein.

I understand that I am waiving substantial legal rights, including the right to sue.

I further acknowledge that I have specifically reviewed and understand the liability waiver, assumption of risk provisions, automatic payment authorization, billing policies, cancellation policy, photo and video release, and all other terms contained in this Agreement.

If signing on behalf of a minor participant, I represent and warrant that I am the parent or legal guardian of the minor participant and that I have full legal authority to execute this Agreement on the minor’s behalf.

I agree that both I and the minor participant shall be bound by all terms and conditions of this Agreement, including the waiver and release of liability provisions.

I further agree to indemnify and hold harmless Thunderdome JiuJitsu LLC DBA Renzo Gracie South Carolina and all Released Parties from any claims brought by or on behalf of the minor participant.
